Excerpt: ... CHAPTER VI. NATURE AND EXTENT OP AUTHORITY. 57. Let us next consider the nature and extent of the authority conferred on an agent. It may, as we have already seen, be a general authority, or it may be a special authority. It may be express, or it may be implied. In regard both to a general, and to a special express authority, it may be conferred by a formal instrument, as by a letter of attorney under seal; or it may be by a writing of an informal and loose character, such as a letter, or memorandum, or it may be by parol or oral declarations. 58. But whether it is conferred in the one way, or in the other, it is, unless the contrary manifestly appears to be the intent of the party, always construed to include all the necessary and usual means of executing it with effect.1 Thus, for example, if a general authority is given to collect, receive, and pay all the debts due by, or to, the principal, it will occur to every one, who reflects upon the nature of such a trust, that numberless arrangements may be required fully to accomplish the end proposed; such as settling accounts, adjusting disputed claims, resisting unjust claims, answering or defending suits; and these subordinate powers (or, as they are sometimes called, mediate powers) are, therefore, though 1 Howard -.
